• Violations of Upstream Terms: Any activity that violates the published terms of service or acceptable use policies of the underlying AI model providers (including but not limited to OpenAI, Anthropic, Google DeepMind, and Meta).

3. Content Controls and Moderation

To safeguard the platform and downstream users, YossGate reserves the right to apply reasonable technical and operational controls to API requests and responses, including automated filtering, anomaly detection, rate limiting, and temporary logging for security triage.

YossGate does not proactively monitor all real-time API payloads, but we reserve the right to audit suspicious activity where necessary to preserve service stability, protect users, and comply with binding legal obligations.

4. Enforcement and Penalties

If we determine or reasonably suspect that you or your end users have violated this Policy, we may take one or more of the following actions depending on the severity of the violation:

1. Issue a formal warning or notice to cure;
2. Temporarily restrict, throttle, or disable access to specific models, tokens, or endpoints;
3. Suspend or freeze account balance, API keys, or credits;
4. Terminate the account permanently without refund for breach of terms;
5. Report unlawful conduct to competent law enforcement agencies where required by applicable law.

Customers purchase Platform API Credits (“Credits”) to pay for compute, proxy routing, token throughput, and platform infrastructure. We do not sell physical goods, software licenses, or consumer third-party subscription accounts.

When a customer initiates an API call to YossGate:

3. The upstream response is streamed back to the client in real-time.

Zero Retention Policy

YossGate adheres to strict enterprise data protection principles:

• No Model Training: We do not use customer prompts, inputs, system instructions, or generated outputs to train, fine-tune, or improve any machine learning models.
• Ephemeral Processing: Payloads are processed in memory and streamed. We do not store conversational content or message bodies in persistent storage, retaining only transient metadata (such as timestamps, token usage counts, response status codes, and latency) necessary for billing, usage transparency, and security audit logs.

Supported upstream model providers include, among others: OpenAI, Anthropic, Google, DeepSeek, Meta, Mistral, and other major AI infrastructure providers. Model availability may be updated from time to time.

4. Prohibited Services and Clear Boundaries

To prevent any misunderstanding, YossGate strictly and explicitly does NOT provide, endorse, or permit any of the following:

• No Account Reselling / Sharing: We do not rent, share, or resell third-party consumer accounts (e.g., ChatGPT Plus, Claude Pro).
• No Third-Party Subscription Top-ups: We do not act as an agent or intermediary to recharge, purchase, or top up consumer accounts on external third-party platforms.
• No Geo-bypass / Circumvention Services: We do not provide proxy services or tools intended to bypass geographical restrictions, sanctions, account bans, or rate limits enforced by upstream providers.
• No Unauthorised Scraping or Reverse-Engineering: We do not utilize web scrapers or unauthorized automated scripts against consumer interfaces; all connections are routed via standard commercial API protocols.

Customers are required to comply with our Acceptable Use Policy and all applicable upstream model provider guidelines.

Product, model, and company names referenced on our platform—such as OpenAI, Anthropic, Google Gemini, DeepSeek, Meta Llama, and Mistral—are used strictly for identification and compatibility purposes.

All trademarks, trade names, and logos are the property of their respective owners. Their mention does not imply any affiliation, sponsorship, endorsement, or direct commercial partnership between YossGate and the respective trademark holders, unless expressly stated otherwise.

This DPA applies whenever Customer utilizes the YossGate API aggregation platform to process Personal Data on behalf of an organisation, enterprise, or commercial application.

1. Definitions

• “Personal Data” means any information relating to an identified or identifiable natural person (“Data Subject”) as defined by Applicable Data Protection Law.
• “Processing” means any operation or set of operations performed upon Personal Data, including collection, transmission, routing, storage, adaptation, retrieval, erasure, or destruction.
• “Controller” means the entity that determines the purposes and means of the Processing of Personal Data (the Customer).
• “Processor” means the entity that processes Personal Data on behalf of the Controller (YossGate).

2. Roles of the Parties

• Customer as Controller: Customer maintains complete control over the prompts, data, and payloads transmitted to the YossGate API. Customer is responsible for ensuring a valid legal basis for processing and obtaining all necessary consents from end users.
• YossGate as Processor: YossGate acts strictly on Customer’s documented instructions to provide high-concurrency API proxy routing, protocol conversion, authentication, and token billing services. YossGate does not process Personal Data for its own independent training or commercial profiling purposes.

4. Data Subject Rights Support: Reasonably assist Customer in fulfilling its obligations to respond to Data Subject requests (e.g., access, deletion, rectification) under applicable regulations;
5. Data Return and Erasure: Upon termination of services, purge or return all residual customer data within thirty (30) days, subject to legal compliance obligations.

5. Technical and Organisational Measures (TOMs)

YossGate maintains high industry security benchmarks, including:

• Encryption in Transit: Mandatory TLS 1.3 / TLS 1.2 encryption for all incoming client API calls and outbound upstream provider connections.
• Ephemeral Memory Processing: Payloads are streamed through memory buffers; persistent prompt caching is disabled by default.
• Container and Multi-Tenant Isolation: Architectural separation prevents cross-tenant data leakage.
• Access Control: Principle of least privilege, multi-factor authentication (MFA), and audit logging for all production infrastructure.

YossGate enforces rigorous vendor due diligence, selecting partners that comply with SOC 2 Type II, ISO 27001, or comparable data protection certifications.

In the event of a confirmed Personal Data Breach affecting Customer’s unencrypted data within YossGate’s infrastructure, YossGate will notify Customer without undue delay and, where feasible, within seventy-two (72) hours of becoming aware of the incident, providing available details and remediation measures.

8. Cross-Border Data Transfers

To deliver global, low-latency AI routing, data may be processed across secure edge nodes and upstream data centers globally. Where cross-border data transfers occur from the European Economic Area (EEA), the UK, or Switzerland to countries without an adequacy decision, the parties agree that standard contractual safeguards (such as the European Commission’s Standard Contractual Clauses - SCCs) shall apply.

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Singapore. • No Editorial Control: AI outputs, completions, synthetic code, and data returned via the Service are generated dynamically by independent third-party foundation models (such as OpenAI, Anthropic, Google, Meta, DeepSeek, etc.). YossGate exercises no editorial control over model outputs.
• No Representation of Accuracy: YossGate makes no representations or warranties regarding the truthfulness, factual accuracy, reliability, completeness, safety, or legal compliance of any output. Outputs do not reflect the opinions, beliefs, or corporate stance of YossGate.

1. Prepaid Credits and Transaction Limits

Accessing generative AI models through YossGate APIs requires purchasing prepaid Credits. All purchases are denominated in US Dollars (USD) or equivalent supported currencies.

• Minimum Top-up: The minimum purchase amount per transaction is US$5.00.
• Maximum Top-up: The maximum purchase amount per transaction is US$25,000.00.
• Review Prior to Payment: You will have the opportunity to review and confirm the total charge, including applicable transaction costs, before completing the checkout process.

2. Refund Eligibility and Conditions

2.1 24-Hour Refund Window

Because API Credits provide immediate access to cloud computing and third-party foundation models:

• A refund request for unused, unconsumed Credits must be formally submitted within twenty-four (24) hours of the transaction completion.
• After the expiration of the 24-hour window, or once Credits have been partially or wholly consumed by API calls, the purchased Credits become strictly non-refundable.

2.2 Payment Processing Fees Are Non-Refundable

All refunds are subject to third-party payment gateway costs. Payment processing fees, merchant fees (e.g., Stripe, credit card interchange fees), and transaction surcharges are non-refundable under all circumstances. Only the net principal balance of eligible, unused Credits will be returned.

2.3 Expiration of Credits

Prepaid Credits remain valid for three hundred and sixty-five (365) days from the date of purchase. YossGate reserves the right to expire and retire Credits that remain inactive or unused after 365 days. Expired Credits cannot be refunded, extended, or transferred.

3. Cryptocurrency Payments (Strictly Non-Refundable)

CRITICAL NOTICE: Payments made using Cryptocurrency (including but not limited to USDT, USDC, BTC, or ETH) are STRICTLY AND ABSOLUTELY NON-REFUNDABLE, without exception.

Due to blockchain finality, price volatility, and anti-money laundering (AML) protocols, transactions completed via cryptocurrency cannot be reversed, canceled, or refunded once broadcast to the network. By selecting cryptocurrency as your payment method, you represent and warrant that the source of funds is lawful and you irrevocably waive any claim to a refund or chargeback.

4. Auto Top-Up

If you enable the optional “Auto Top-up” feature in your dashboard, you authorize YossGate to automatically charge your designated payment method when your available account balance drops below your pre-configured threshold.

• Credits acquired via Auto Top-up are subject to the standard 24-hour refund window for unused balances.
• You may reconfigure, pause, or cancel Auto Top-up at any time in your account settings; cancellations take effect immediately for subsequent cycles.

5. Account Termination and Refunds

• Voluntary Account Closure by You: If you voluntarily close or terminate your account, any eligible remaining unused Credits (excluding cryptocurrency payments and minus processing fees) will be refunded to your original payment method within thirty (30) business days.
• Termination for Breach: If YossGate suspends or terminates your account due to a violation of our Terms of Service, Acceptable Use Policy, fraudulent activity, API resale without authorization, or malicious attacks, all remaining Credits and account balances are completely forfeited and non-refundable.

• Prolonged Platform Downtime: If a widespread, catastrophic platform failure on YossGate’s infrastructure prevents API access for an extended duration, reasonable compensation in the form of platform Credits may be granted upon management review.
• Unauthorized Account Access: In cases of alleged unauthorized billing, you must notify support@yossgate.com in writing within seven (7) calendar days with valid substantiating evidence.

7. Processing Times for Approved Refunds

Once a refund is approved by our billing department, the funds are transmitted back to the original funding source:

• Credit / Debit Cards: Typically 5 to 10 business days, depending on your issuing bank’s settlement cycle.
• Alternative Payment Methods: Typically 3 to 7 business days.

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and the Company governing your access to and use of the Service. By accessing or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms.

1. Overview of the Service

YossGate provides a unified, developer-centric artificial intelligence API aggregation and gateway service. The Service allows registered users to interact with third-party generative foundation models and application programming interfaces (“APIs” or “Models”) through an OpenAI-compatible routing architecture. The Company reserves the right to add, update, modify, or deprecate available Models from the Service at any time based on upstream availability and operational requirements.

2. Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to form a binding contract with the Company. By agreeing to these Terms, you represent and warrant that:

• You have the full power and legal capacity to enter into these Terms;
• You have not previously been suspended, banned, or terminated from the Service;
• Your registration and use of the Service comply with all applicable local, national, and international laws, regulations, and sanctions.

If you are entering into these Terms on behalf of a company, partnership, or legal entity, you represent and warrant that you hold sufficient corporate authority to legally bind that entity to these Terms.

3. Accounts and Security

To access API keys and core features, you must register an account. During registration, you must provide accurate, complete, and current contact details, including a valid email address.

You are solely responsible for maintaining the confidentiality of your account credentials, passwords, and API keys. You accept full responsibility for all activities, token consumptions, and liabilities that occur under your account or through your API keys. If you suspect any unauthorized access or security compromise, you must notify us immediately at support@yossgate.com .

4. Billing, Credits, and Payment

4.1 Prepaid Credits and Top-Up Limits

Accessing Models requires purchasing prepaid API platform credits (“Credits”).

• Transaction Limits: Minimum purchase per transaction is US$5.00; maximum purchase per transaction is US$25,000.00.
• Refund Window: Refund requests for eligible, unused Credits must be submitted within twenty-four (24) hours of the transaction. After 24 hours, or once Credits have been consumed, all balances are strictly non-refundable.
• Payment Processing Surcharges: Third-party payment processor fees and gateway charges are non-refundable under all circumstances.

4.2 Expiration and Auto Top-Up

• Validity Period: Purchased Credits remain valid for three hundred and sixty-five (365) days. YossGate reserves the right to retire and expire unused Credits remaining after 365 days.
• Auto Top-Up: If enabled, you authorize YossGate to automatically charge your designated payment method when your available balance falls below your specified balance threshold. You may disable Auto Top-Up at any time in your dashboard.

4.3 Cryptocurrency Payments (Strictly Non-Refundable)

Payments made using cryptocurrency (e.g., USDT, USDC, BTC, ETH) are strictly non-refundable. You represent and warrant that any cryptocurrency utilized originates from lawful sources and does not represent proceeds of illegal activity.

5. Model Terms and Upstream Compliance

5.1 Flow-Down Obligations

The Service routes requests to external foundation models operated by independent third-party providers (including OpenAI, Anthropic, Google, DeepSeek, Meta, and others). By using any Model via the Service, you agree to strictly comply with the specific terms of service and acceptable use policies published by each respective upstream model provider.

5.2 Model Availability and Disclaimers

Models are provided on an “as available” basis. Upstream providers may modify, throttle, or terminate model availability without notice. YossGate shall have no liability for interruptions, output quality issues, hallucinations, or upstream model deprecations.

6. User Content, Privacy, and Zero Data Retention

6.1 Ownership of Prompts and Output

You retain all ownership rights in the text, data, code, or images you submit to the Service (“Input”). Ownership of generated responses (“Output”) is determined by the applicable terms of the underlying model provider.

6.2 Zero Data Retention and No Model Training

YossGate operates under a strict Zero Data Retention philosophy for model training:

• No Training: YossGate does not sell, use, or feed your Prompts or Outputs to train, retrain, or improve any machine learning models.
• Ephemeral Streaming: Requests are processed and streamed in-memory directly to upstream providers. We do not maintain persistent databases of your conversational contents, retaining only transient billing metadata (token counts, timestamps, HTTP status codes).

6.3 Representations Regarding Input

You represent and warrant that your Input does not infringe intellectual property rights, violate privacy laws, or contain prohibited content under our Acceptable Use Policy.

7. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful, fraudulent, or harmful purpose;
• Resell raw API access or operate unauthorized competing services using scraped data;
• Attempt to circumvent platform rate limits, security safeguards, or billing mechanisms;
• Conduct prompt injection, adversarial jailbreaking (“red-teaming”), or malicious probing intended to bypass upstream safety filters without express authorization;
• Reverse engineer, decompile, or disassemble any aspect of the YossGate platform architecture;
• Introduce malware, viruses, or malicious scripts into the network infrastructure.

Violations of this section may lead to immediate account termination without refund and legal action.

8. Suspension and Termination

YossGate reserves the right to suspend or terminate your account and API access immediately, with or without notice, if you breach these Terms, our Acceptable Use Policy, or if required by law. Upon termination for breach, all remaining Credits in the account are immediately forfeited.

You may terminate your account at any time by contacting support. Termination does not relieve you of the obligation to pay accrued fees.

9. Disclaimers and Limitation of Liability

9.1 Warranty Disclaimer

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOSSGATE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL YOSSGATE OR ITS AFFILIATES BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES).

YOSSGATE’S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL BE CAPPED AT THE GREATER OF:

• (A) THE TOTAL AMOUNT PAID BY YOU TO YOSSGATE FOR THE SERVICE IN THE PRECEDING TWELVE (12) MONTHS; OR
• (B) ONE HUNDRED UNITED STATES DOLLARS (US$100.00).

10. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Singapore, without giving effect to conflict-of-law principles.

Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre for the time being in force. The seat of the arbitration shall be Singapore. The language of the arbitration shall be English.

11. Amendments

We may amend these Terms periodically. Material updates will be notified via our website or email at least thirty (30) days prior to taking effect. Continued use of the Service following revisions constitutes acceptance of the modified Terms.
